Terms of Service

Welcome. These Terms of Service (the "Terms") govern your access to and use of Ibis Learning, a continuing education platform operated by Ibis Core Systems ("we," "us"). By creating an account or using the service, you agree to these Terms.

1. Who may use the service

Ibis Learning is intended for licensed healthcare professionals in the United States, particularly Psychiatric Mental Health Nurse Practitioners (PMHNPs) at launch. By creating an account you represent that:

  • You are at least 18 years old.
  • You are providing accurate information, including your real name, current email address, and professional information.
  • If you provide license information, it is your own and currently valid.

2. Accurate information is required for compliance

Ibis Learning is designed to produce audit-defensible records of your continuing education activity. The records we generate are only as accurate as the information you provide. If you misrepresent your identity or license information, the certificates we issue to you may be unusable for license renewal, and you may be responsible for any consequences of that misuse.

3. Pre-accreditation status (important)

As of this document's effective date, Ibis Learning is not yet an ANCC Accredited Provider. We are building toward that application. During this pre-accreditation period:

  • Certificates we issue document educational engagement but may not satisfy all state board or specialty requirements for continuing education credit. Check with your licensing body before relying on them for renewal.
  • Language describing "contact hours" or "CE credit" on our platform refers to engaged learning time, not nationally recognized accredited credit, until accreditation is granted.
  • We commit to being transparent about accreditation status. If we enter a joint providership with an accredited provider, or if we receive ANCC accreditation, we will update certificates and communication accordingly.

4. Acceptable use

You agree to use the service in good faith. You will not:

  • Enter Protected Health Information (PHI) into sessions. Ibis Learning is not a clinical documentation tool. Do not include patient names, dates of birth, medical record numbers, addresses, or other identifiers. Frame clinical questions in general terms.
  • Share your account credentials with anyone else. Each certificate is tied to a specific licensed professional; a credential sharing scheme invalidates the records.
  • Attempt to manipulate engagement metrics (e.g., running automation to generate false session time), circumvent cost limits, or otherwise defraud the credit system.
  • Reverse-engineer, scrape, or attempt to extract the underlying prompts, corpus, or model weights.
  • Use the service to generate content for unlawful purposes or to harass another person.

5. AI-generated content is educational, not clinical

The assistant you interact with is an AI system grounded in authoritative sources. Despite our layered safeguards (retrieval grounding, citation verification, adversarial review, domain guardrails), AI systems can still produce incorrect or outdated information, particularly in niche or rapidly evolving clinical areas.

Nothing produced by the assistant is a substitute for your own clinical judgment, current practice guidelines, or consultation with supervising physicians or collaborating colleagues. If a response contradicts your clinical training or a patient-specific context you know, trust your training. If you identify a factual error, we welcome feedback so we can improve.

The assistant does not provide medical advice about specific patients. It produces educational content. Do not use its output to treat a specific person or make a specific clinical decision.

6. Subscription and billing

Paid subscriptions are processed through Stripe. You can cancel at any time from your account page; cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis — email us at hello@ibislearn.com.

We reserve the right to change pricing. Existing subscribers will receive at least 30 days' notice before any price increase applies to their account.

7. Cost limits and session abort

To keep costs manageable, the service enforces per-session and per-day cost caps. When a cap is reached the session automatically ends and you will receive a clear in-app message. Your progress up to that point is preserved. If your cap was reached in the middle of an accredited activity, you can return and earn credit for what was completed; beyond that, you may need to wait until the next day or contact us if the cap is materially disrupting your use of the service.

8. Intellectual property

The Ibis Learning platform, its software, its curated corpus selections, its Nurse Planner attestation processes, and its compliance architecture are the intellectual property of Ibis Core Systems. You receive a limited, non-transferable, revocable license to use the service for its intended purpose.

Content you contribute (session transcripts, feedback, messages) remains yours. By using the service you grant us a license to process that content to operate the service, retain compliance records, and improve the product in aggregate as described in our Privacy Policy.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IBIS CORE SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY IN ANY MATTER RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU HAVE PAID US IN THE PRIOR 12 MONTHS.

10. Indemnification

You agree to indemnify and hold harmless Ibis Core Systems from any claim arising out of your violation of these Terms, your misuse of the service, your violation of any law or the rights of a third party (including entering PHI despite this prohibition), or any content you provide.

11. Termination

You may close your account at any time. We may suspend or terminate your account if you materially violate these Terms, or if required by law. Termination does not erase the compliance-evidence records of any certificates you have already earned; those remain retained as described in the Privacy Policy.

12. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Any dispute not resolved informally will be brought in the state or federal courts located in Davidson County, Tennessee. You waive any objection to that venue.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify active account holders by email at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance.
